Supermicro Announces Proposed Public Offering of Common Stock

Super Micro Computer, Inc. (SMCI) announced the launch of a proposed underwritten registered public offering of 2,000,000 shares of its common stock. In addition, Supermicro expects to grant the underwriter a 30-day option to purchase up to an additional 300,000 shares of its common stock. The proposed offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

Goldman Sachs & Co. LLC is acting as sole underwriter and sole book-running manager for the proposed offering.

A registration statement on Form S-3 (including a preliminary prospectus describing the terms of the offering) relating to these securities has been filed with the Securities and Exchange Commission (the “SEC”) and has become effective.
